Subscription Terms and conditions

These Terms govern your use of the Blueprint Compliance Portal (“Portal”). By subscribing and using the
Portal, you agree to these Terms. Please read this Subscription Terms & Conditions carefully and ensure that you understand it.

Business Use Only

  • These Terms apply to business customers only. By subscribing, the Subscriber confirms it is entering into this Agreement in the course of business and not as a consumer.
  • Access by employees, contractors, or authorised users (“Authorised Users”) is deemed to be on behalf of the Subscriber, who remains fully responsible for their actions.

  • Your subscription provides access to the Blueprint Portal, including:
    • Golden Thread CDE for structured document management
    • Change Control tools aligned with Building Safety Act Gateways
    • Mandatory Occurrence Reporting in line with Regulation 32
    • Resident Communication Module
    • Notifications, dashboards, and reporting/export functions
    • Unlimited users per subscribed building/project
    • Human customer support from compliance professionals
  • Access to the Portal is provided at https://blueprintcompliance.knack.com/blueprint-mor-portal#dashboard
  • The Subscriber acknowledges that use of the Portal is limited to the functionality made available by Blueprint from time to time. Blueprint makes no commitment that any particular feature, function, or module will continue to be available, be updated, or be maintained for the duration of the subscription.

Subscription Fees

  • Project Stakeholder Subscription: £99.00 + VAT per year.
    • Additional fees: one-off fee of £250.00 + VAT per asset.
      • AES-256 encryption for data at rest
      • TLS 1.2+ secure data transmission
      • Role-based access controls and full audit logs
  • Building Stakeholder Subscription: £149.00 + VAT per year, plus £25.00 + VAT per building, billed monthly.
  • Enterprise Plans: Custom pricing agreed separately.
  • VAT is charged in addition to all fees

Billing & Payment

  • Annual subscription fees are invoiced in advance upon commencement and on each renewal anniversary.
  • Monthly building charges are payable in advance on the date of subscription activation and recur monthly on the same day thereafter.
  • Access to the Portal for subscribed buildings is conditional on cleared payment.
  • Invoices must be paid within 14 days. Blueprint may suspend access if payment is overdue by more than 14 days and may terminate if overdue by more than 30 days.
  • Fees may be varied at renewal with not less than 30 days’ prior notice. Continued use after renewal constitutes acceptance of revised fees.
  • Blueprint reserves the right to charge statutory interest (currently 8% above the Bank of England base rate) and reasonable recovery costs on overdue sums in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Subscriptions (both annual and monthly) renew automatically at the end of each billing cycle unless the Subscriber provides written notice of cancellation at least 14 days before the renewal date. Renewal fees will be charged using the same payment method as the original subscription unless updated by the Subscriber.
  • By subscribing, the Subscriber authorises Blueprint to charge all applicable subscription and renewal fees automatically until valid cancellation is received in accordance with these Terms.

Cancellation and Refunds

  • Subscriber may cancel at any time; cancellation takes effect at the end of the current billing cycle.
  • All Subscription Fees are non-refundable. No refunds or credits will be given for any unused portion of a subscription, partial months, or unused services, whether termination is initiated by the Subscriber or as a result of suspension/termination for breach. The only exception is where required by applicable law.
  • No refund is due where termination is due to Subscriber breach or non-payment.
  • No refund is due if the Subscriber chooses to terminate before the end of a paid billing cycle, unless such termination is due to Blueprint’s material breach.

Data Ownership and Use

  • Subscriber retains ownership of all data it uploads to the Portal (“Subscriber Data”).
  • Subscriber grants Blueprint a non-exclusive licence to host, store, process, and transmit Subscriber Data for the purpose of providing the Services.
  • Blueprint may remove or disable access to Subscriber Data if it reasonably believes it breaches law or these Terms.
  • On termination, Subscriber may request a copy of Subscriber Data in a reasonable, industry-standard format. Blueprint may charge a reasonable fee for such export.
  • Blueprint will delete Subscriber Data within 30 days after termination, unless retention is required by law.
  • Blueprint may charge a reasonable fee for providing Subscriber Data on termination in an industry-standard export format.

Data and Privacy

  • Blueprint applies AES-256 encryption, TLS 1.2+, ISO 27001-certified hosting, and SOC2 Type 2 standards.

Confidentiality

  • Each party shall keep confidential all information of the other party that is marked confidential or which by its nature ought reasonably to be considered confidential.
  • Neither party shall use or disclose such information except as required to perform these Terms, or as required by law, regulation, or court order.
  • This obligation shall not apply to information which:
    • is or becomes public knowledge other than through a breach of this clause;
    • was lawfully in the receiving party’s possession before disclosure;
    • is lawfully disclosed to the receiving party by a third party without restriction; or
    • is independently developed by the receiving party without use of the other party’s confidential information.

Intellectual Property

  • All rights in the Portal remain with Blueprint.
  • Subscriber receives a limited, non-transferable licence to use the Portal for subscribed buildings/projects during the term.
  • Subscriber shall not copy, modify, decompile, reverse engineer, or create derivative works of the Portal.

Audit / Monitoring Rights

  • Blueprint reserves the right to monitor use of the Portal to verify compliance with these Terms and applicable law.
  • Blueprint may request reasonable information from the Subscriber to demonstrate such compliance.

User Responsibilities

  • Subscriber shall:
    • Ensure Authorised Users keep login credentials secure;
    • Use the Portal only for lawful purposes and in connection with subscribed buildings/projects;
    • Not share access outside its organisation.

Indemnity

  • Subscriber shall indemnify and hold harmless Blueprint from any claims, losses, damages, expenses or third-party claims arising out of:
    • Subscriber’s or Authorised Users’ misuse of the Portal;
    • Upload of unlawful, infringing, or inaccurate data;
    • Breach of these Terms or applicable law.

Availability & Liability

  • Blueprint aims to provide reliable access but does not guarantee uninterrupted service. Planned maintenance may result in temporary downtime; Blueprint will use reasonable endeavours to give advance notice of scheduled maintenance.
  • Blueprint shall not be liable for indirect, incidental, or consequential loss (including data loss, business interruption, or lost profits).
  • Total liability under these Terms is limited to the greater of: (a) six months’ subscription fees paid; or (b) £1,000.
  • Nothing excludes liability for death or personal injury caused by negligence, fraud, or other liability which cannot be excluded by law.
  • The liability cap in this Section shall apply in aggregate to all claims arising in any rolling 12-month period, regardless of the number of incidents or claims.
  • Except as expressly set out in these Terms, the Portal is provided “as is” and Blueprint disclaims all warranties, conditions, or representations of any kind, whether express or implied, including without limitation any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement.
  • No action or claim arising out of or in connection with these Terms may be brought by the Subscriber more than twelve (12) months after the cause of action has arisen.

Termination

  • Blueprint may suspend access immediately if it reasonably believes continued use of the Portal may compromise security, data integrity, or compliance with law.
  • Blueprint may suspend or terminate access immediately if:
    • Subscriber breaches these Terms and fails to remedy within 14 days of notice;
    • or
    • Payment is overdue by more than 30 days.
  • Subscriber may terminate by giving one month’s written notice.
  • On termination, all licences end, and access will cease

Survival

  • The provisions of these Terms relating to intellectual property, confidentiality, indemnity, limitation of liability, data ownership, and governing law shall survive termination or expiry of the subscription and shall continue in full force and effect.

Notices

  • Any notice required to be given under these Terms shall be in writing and delivered by hand, sent by first-class post, or by email to an authorised representative of the other party.
  • Notices shall be deemed received:
    • if delivered by hand, on the day of delivery;
    • if sent by first-class post, 48 hours after posting;
    • if sent by email, at the time of successful transmission, provided no bounce-back is received.
  • The Subscriber’s notice details are those set out in the subscription order form, or such updated details as notified in writing. Blueprint’s notice details are those in Section 2 of these Terms.

Force Majeure

  • Blueprint shall not be liable for delay or failure to perform obligations due to events beyond its reasonable control, including power failure, ISP failure, cyber-attacks, industrial action, pandemics, war, or natural disasters.

Changes to Terms

  • Blueprint may update these Terms from time to time. Subscribers will be notified of material changes at least 30 days before they take effect. Continued use of the Portal constitutes acceptance.
  • These terms and conditions were last updated on 26th September 2025.

Entire Agreement

  • These Terms constitute the entire agreement between the parties and supersede all prior discussions or agreements relating to their subject matter.
  • The Subscriber may not assign, transfer, or sublicense its rights under these Terms without prior written consent of Blueprint. Blueprint may assign or transfer its rights or obligations in connection with a merger, acquisition, corporate restructuring, or sale of business.

Severability

  • If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Governing Law

  • These Terms are governed by and construed in accordance with the laws of England and Wales
  • The parties submit to the exclusive jurisdiction of the courts of England and Wales.
  • These Terms are drafted in the English language. If translated into another language, the English language version shall prevail.
